Courses:

Courses in the first session will be held at the China University of Political Science & Law (CUPL) in Beijing, one of the one of the most-highly respected law faculties in China. 

Courses in the second session will be held at Fudan University School of Law in Shanghai. Field trips to some of both cities' top attractions will also be included. 

Courses will meet Monday – Friday, from 8:30 am - 10:15 am and 10:35 am - 12:20 pm.

Course Descriptions:

SESSION I, Beijing, China (Sunday, July 6 - Friday, July 18, 2014): 

Introduction to Chinese Law (3 credits)

Each daily session of the single, three-credit course offered in the first session will cover a different subject of Chinese law, including: Introduction to the Chinese Legal System and Institutions; Chinese Civil Law; Chinese Constitutional Law; Chinese Labor Law; Human Rights in China; Chinese Environmental Law; Practicing Law in China; Chinese Administrative Law; Chinese Intellectual Property Law; Chinese Maritime Law. In each session a Tulane faculty member will offer a comparative perspective on the subject. Registrants will be graded based on a final examination in this course. 

Courses will be supplemented by the following: visit to a Chinese law firm and meeting with attorneys; visit to a civil trial court during the hearing of a civil case; a symposium hosted by local attorneys on practicing law in China; visits to the stock exchange, port, and laws firms specializing in international commercial transactions with the United States, courts, and other sites on dates to be determined. 

While in Beijing, students will also be taken on excursions to the Great Wall, Tiananmen Square, the Forbidden City and the Peking Opera. 

SESSION II, Shanghai, China (Sunday, July 20 – Friday, August 1, 2014): 

Doing Business With and In China: Regulation of International Business and Trade (3 credits)

We have devised a program that provides both traditional classroom instruction in specific areas of Chinese law relating to commercial transactions, international trade, and foreign investment, in the first week, and that also provides skills training through the use of exercises requiring collaborative work in negotiating transactions and resolving disputes arising out of international commercial transactions, in the second week. The five subjects that will be taught in the second session are as follows: Chinese Corporate Law; Chinese Foreign Investment Law; Chinese Banking Law; Commercial Arbitration in China; and Chinese Corporate Tax Law or Chinese Securities Law. The second week will focus on skills training with the Registrants divided into teams to simulate a variety of international business transaction exercises. Registrant teams will work on exercises such as transactional negotiations, compliance with domestic and international regulations, and mediation of commercial disputes. They will be supervised by Chinese attorneys who specialize in international business transactions with American companies. The second week will include two days of course-related field trips. These will include visits to the stock exchange, port, laws firms specializing in international commercial transactions with the United States, courts, and other sites. Each registrant’s grade for the three credit course will be based on their performance on the final examination and on the simulation exercises. 

In addition, there will be two class visits during the session: (1) meeting with attorneys at a law firm that specializes in international law where several attorneys from the firm will discuss the legal issues faced by American attorneys representing American clients who are doing business in China; and (2) a visit to a Chinese trial court on a day where that court is handling civil litigation relating to international business transactions.
