Tulane University Law School Professor Dan Posin says the outcome of a lawsuit filed by Disney shareholders against the company's directors, including Michael Eisner and Michael Ovitz could have ramifications beyond Hollywood. According to Professor Posin, the trial will likely become famous in helping to define and articulate the standard for the "business judgment rule" - a widely accepted standard of corporate decision making. The case could help set the standard for how boards should oversee CEOs. "How careful is careful enough," asks Posin in the November 16, 2004 edition of the Christian Science Monitor.
