| Course Description | | |
This course will cover legal aspects of selected business enterprises (such as the corporation), how business enterprises are financed, how control and managerial authority is allocated within a business enterprise, and the scope of the fiduciary duties owed to a business enterprise in routine and fundamental transactions. This course will also cover aspects of federal securities law affecting the governance of business enterprises, including antifraud rules and insider trading. (4 credits)
