| Course Description | | | This course will teach the law governing, and the skills involved in, the preparation of an initial public offering of securities. The skills include: giving advice (including unwelcome advice); analysis of business opportunities and performance; clear and concise expository writing; dealing with other professionals who participate in the transaction (issuer, underwriter, accountant, SEC staff). We will read parts of the Securities Act, SEC regulations C and S-K, some SEC releases, a handful of judicial decisions, a prospectus, CLE outlines, a portion of a novel and other materials.
